1. Agreement to Terms
By accessing or using the services provided by Shree Technology ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services Provided
Shree Technology provides web design, web development, e-commerce solutions, SEO services, and website maintenance. The specific scope of services will be outlined in individual project agreements or proposals.
3. Client Obligations
Clients agree to:
- Provide accurate and complete information required for project completion
- Provide timely feedback and approvals to avoid project delays
- Supply all necessary content, images, and materials in appropriate formats
- Ensure all provided content does not infringe on any third-party rights
- Make payments according to the agreed schedule
- Maintain the confidentiality of login credentials and account information
4. Payment Terms
- Payment Schedule: Projects typically require an initial deposit (usually 50%) before work commences, with the balance due upon project completion
- Payment Methods: We accept bank transfers, UPI, and other methods as agreed upon
- Late Payments: Late payments may result in project suspension and may incur late fees
- Refunds: Deposits are non-refundable once work has commenced. Refund eligibility will be determined on a case-by-case basis
- Pricing Changes: Prices quoted are valid for 30 days unless otherwise stated
5. Project Timeline and Delivery
- Timelines: Project timelines are estimates and may be affected by client feedback delays or scope changes
- Delays: We are not liable for delays caused by circumstances beyond our control
- Client Delays: Extended delays in client feedback (more than 30 days) may result in project re-evaluation and additional charges
- Revisions: The number of revision rounds will be specified in the project proposal. Additional revisions may incur extra charges
6. Service-Specific Terms
6.1 Refund Policy
Refunds are not available once a project or service begins, including after initial setup for hosting, domain registration, or design phases. For subscription services like hosting or maintenance, cancellations follow the billing cycle with no partial refunds.
6.2 Additional Work and Timeline Adjustment
Requests for extra work, such as custom integrations or additional features beyond the original scope, may adjust timelines and costs. We will provide a revised quote and obtain your approval before proceeding.
6.3 Customer Behavior and Communication
Professional conduct is required in all communications. Harassment, abusive behavior, or unreasonable demands may result in immediate service termination without refund.
6.4 Website, Hosting, and Domain Renewal
It is your responsibility to renew your website, hosting, domain, and related services on time according to the agreed renewal schedule. If renewal is not made on time, we are not responsible for any loss, downtime, or damages incurred due to service interruption or discontinuation. We will send renewal reminders, but ultimate responsibility lies with the client.
6.5 Hosting and Domain Services
We provide reliable hosting services but do not guarantee 100% uptime due to factors beyond our control (e.g., server maintenance, network issues, DDoS attacks). Domain registrations are subject to registrar policies, and renewals are your responsibility unless explicitly managed by us under a service agreement.
6.6 Payment Terms
Payments are due as specified in your project agreement or invoice. Late payments may incur fees, and services may be suspended until payment is resolved. We reserve the right to charge interest on overdue amounts.
7. Intellectual Property Rights
- Ownership: Upon full payment, clients receive ownership of the final deliverables (website design and code)
- Pre-existing Materials: We retain ownership of any pre-existing code, frameworks, libraries, or tools used in the project
- Portfolio Rights: We reserve the right to display completed projects in our portfolio and marketing materials unless explicitly prohibited by written agreement
- Third-party Components: Some projects may include third-party plugins, themes, or software governed by their own licenses
- Client-provided Content: Clients retain ownership of all content they provide and warrant they have the right to use such content
8. Warranties and Disclaimers
- Quality Assurance: We warrant that services will be performed with reasonable skill and care
- Browser Compatibility: Websites will be tested on major modern browsers; compatibility with older or uncommon browsers is not guaranteed
- No Guarantee of Results: We do not guarantee specific results, rankings, traffic, or revenue from our services
- Third-party Services: We are not responsible for failures or changes in third-party services (hosting, payment gateways, APIs, etc.)
- As-Is Basis: Services are provided "as is" without warranties of any kind, express or implied
9. Limitation of Liability
To the maximum extent permitted by law, Shree Technology shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from client's use or inability to use the website or services
- Any damages exceeding the total amount paid by the client for the specific project
- Issues arising from client-provided content, hosting, or third-party services
10. Confidentiality
Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the project. This obligation continues for 2 years after project completion.
11. Website Maintenance and Support
- Post-launch Support: We provide 30 days of free bug fixes after project delivery (bugs are defined as features not working as originally specified)
- Ongoing Maintenance: Ongoing support, updates, and new features require a separate maintenance agreement
- Hosting and Domain: Clients are responsible for arranging and paying for hosting and domain registration, unless included in the service agreement
- Backups: Clients are responsible for maintaining their own backups unless covered by a maintenance agreement
12. Termination
- Client Termination: Clients may terminate the project with written notice. Payments for completed work are non-refundable
- Company Termination: We reserve the right to terminate services if the client breaches these terms, fails to make payments, or engages in abusive behavior
- Effect of Termination: Upon termination, the client will receive completed work deliverables proportional to payments made
13. Indemnification
Client agrees to indemnify and hold harmless Shree Technology from any claims, damages, losses, or expenses (including legal fees) arising from:
- Client's breach of these terms
- Client-provided content that infringes third-party rights
- Client's use of the delivered website or services
- Any illegal or unauthorized activities by the client
14. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control, including natural disasters, war, terrorism, strikes, government actions, or technical failures.
15. Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
16. Changes to Terms
We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms. Material changes will be notified to active clients via email.
17. Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms of Service, together with any project-specific agreements or proposals, constitute the entire agreement between the client and Shree Technology regarding the services provided.
